									<p>The scheme will start with claims for a specified money amount (which make up 80% of small claims), which will include clams by businesses recovering debts from customers. The policy will eventually apply to all claims issued under the standard part 7 procedure of the Civil Procedure Rules.<br />It is proposed that once a defence is filed and the case allocated to the court’s small claims track, the Court will notify the parties that mediation is the next step, and the case will then progress to HM Courts &amp; Tribunals’ existing small claims mediation service. The parties will have a separate hour long telephone conversation with the Court service’s appointed mediator (the mediation will be free of charge to the parties), and if a settlement is agreed, a legally binding formal agreement will be registered with the court. If an agreement is not reached, the dispute will proceed, and in due course will be heard by a judge. Judges will have the power – and it is not hard to envisage them being encouraged &#8211; to impose sanctions on parties that did not comply with the requirement to mediate.</p><p>To support the scheme, the government has indicated that he small claims mediation service will be expanded. Future plans to integrate mediation in the court process for higher-value claims will see parties referred to external mediators.</p><p>Mediation has of course been a growing area in recent years, and in our experience, and certainly in Multi-Track cases, some form of ADR or mediation is now commonplace. Provided the parties properly engage in the process, and genuinely wish to reach a realistic settlement, it is an effective process which can assist all those involved in litigation in saving costs. For the proposed compulsory small claims mediation process to be effective, it will be vital that the parties have access to a properly trained mediator within a reasonable timescale. 									<p><span style="font-size: 14px;">FRC are set amounts that the winning party in civil litigation is entitled to recover from the losing party. They are designed to bring predictability to costs exposure/recovery and encourage parties to deal with cases at proportionate cost. In most cases, the FRC regime will apply to claims where proceedings are issued on or after 1 October 2023. For personal injury claims, FRC will apply where the cause of action accrues on or after 1 October 2023.</span></p><p>Although there are limited exceptions, FRC will apply to the vast majority of cases allocated to the fast track and a new “intermediate track”.<br />The scope of the fast track will remain as it is, and will remain appropriate for claims with a value up to £25,000 where the case can be tried in one day or less and oral expert evidence at trial is limited to two expert fields with one expert per party per field. In claims which seek both monetary and non-monetary relief, the FRC will be calculated by reference to the damages awarded and the assigned value for non-monetary relief.<br />The new intermediate track is a new track for claims up to £100,000 where the case can be tried in three days or less, with no more than two expert witnesses giving evidence on each side, and the claim is brought by one claimant against one or two defendants, or by two claimants against one defendant. Where the relief sought includes a claim for non-monetary relief, the claim will not usually be allocated to the intermediate track unless the court considers it to be in the interests of justice. Judges will retain discretion to allocate more complex cases valued at under £100,000 to the multi-track (which would take them outside of the FRC regime).<br />A further change is that the court will also assign cases to a complexity band. Both the fast track and the intermediate track will have four complexity bands (1 to 4 in ascending order of complexity). The higher the band, the greater the fixed costs. Allocation and assignment will be extremely important for parties (given the direct impact on recoverable/payable costs), and whilst the parties&#8217; views on allocation and assignment will be important it will ultimately be a question for the court.<br />A series of tables in a new Practice Direction 45 set out a menu of fixed costs which apply depending on the stage reached/activity undertaken. The MoJ proposes to review the tables three years post launch. <br />In both the fast track and intermediate track, the court may allow any disbursement which has been reasonably incurred, as long as there is no double recovery. VAT can also be recovered, where appropriate. Also, the Court will consider a claim for costs in excess of FRC where there are “exceptional circumstances”, but at this stage there is no guidance on what those exceptional circumstances might be. Cases can also be reallocated/reassigned in appropriate circumstances, but these are also likely to be exceptional.<br />Predictability of costs exposure/recoverability is they key advantage of the new rules, and should help parties weigh up the merits of trial versus settlement. That said, there will inevitably be a period of uncertainty while practitioners, parties and the courts grapple with these new rules. It is also vital to bear in mind that the rules go to costs recoverability. They do not dictate what legal representatives can charge their clients. The actual costs charged may exceed the fixed costs that are recoverable, which would leave the receiving party with a shortfall payable to their lawyers.<br />One consequence we do expect to see flow from the new rules is parties looking to maximise their costs recovery by including a contractual right to add all their costs to the claim. 									<p>As a result, the teacher has been suspended from her employment pending an investigation.</p><p> </p><p>The video which was shared online by hunt protesters has now been viewed over 2 million times and has generated enormous criticism as the footage allegedly shows a member of the Cottesmore Hunt in Leicestershire, believed to be Sarah Moulds.</p><p> </p><p>Mowbray Education Trust said a staff member &#8211; understood to be Sarah Moulds &#8211; &#8220;has been suspended pending formal investigations&#8221;. Owing to the nature of the content of the footage, the RSPCA have confirmed that it was investigating.</p><p> </p><p>Ms Moulds has also been removed from a volunteering role she carried out for the Pony Club. It was stated that the behaviour witnessed was entirely inappropriate and inconsistent with the general ethos of wellbeing and welfare supported by the organisation.</p><p> </p><p>Generally speaking, an employee’s conduct outside of work is not a matter for the employer unless it adversely impacts the workplace. However, when this does impact upon the employers and its reputation, this would be in the realms of misconduct so the employer could progress matters using its disciplinary policy. If conduct or behaviour brings the employer into disrepute, then any potential dismissal could probably fall under the category of ‘some other substantial reason’, being a potentially fair reason for dismissal.  </p><p> </p><p>Any employer should consider drafting a Code of Conduct that clearly establishes the expected standard of behaviour. Then, there should be a social media policy setting out what is and is not acceptable online conduct and the consequences of failing to comply, which may range from warnings to dismissal. In this case, it is the fact that the employee’s actions have been posted to social media that has damaged the employer’s reputation. Also make sure that this type of conduct is expressly mentioned in the disciplinary policy,</p><p> </p><p>For employers, it is easy to overestimate the reputational damage that may follow from the conduct outside of work, so remember at all times that any dismissal must be within the range of reasonable responses. Keep in mind that when considering a claim for unfair dismissal, an employment tribunal will consider a number of factors, including whether the actions amounted to misconduct or “some other substantial reason”, whether the employer conducted a fair investigation, whether it considered all other avenues to dismissal, and whether a dismissal on these particular facts was fair.</p><p> </p>								</div>

									<p>The admission of Gary Ballance regarding the making of inappropriate comments to his former colleague, Azeem Rafiq, has had implications that have rocked this long-established cricket club.</p><p><span style="font-size: 14px;">The situation was compounded as the club carried out its own internal investigation and found that there was no conduct or action taken by any of its employee, players or executives that warranted disciplinary action. This was despite a number of allegations made being upheld.</span></p>
<p></p>
<p>The outcome has been that many of Yorkshire Cricket Club’s sponsors have severed links with the club and there have been call from many, including Julian Knight MP, Chair of the Digital, Culture, Media and Sport Select Committee for the Board to resign.</p>
<p></p>
<p>There are a number of issues here. Firstly, the situation should never have arisen in the first place. The conduct, which would inevitably have been witnessed by others should have been addressed and stopped immediately. However, the situation should never have been allowed to develop in the first instance. Creating a work culture which promotes equality and diversity, free from harassment must be in place and any employer must ensure that this culture is fully embraced by all as a starting point. If you achieve this then the further problems of bullying and harassment simply will not arise. What has historically been termed as “Banter” is not acceptable. The reputation of the club has been seriously tarnished, with Azeem Rafiq and officials of the club now being called before Parliament. The ECB are being pressed to take action.</p>

<p>Now imagine if this was your business. Look at your culture and promote equality and diversity through policies, procedures and positive reinforcement. Ongoing training and the cascading of the principles of the required culture must be instilled in all employees. If a situation does arise, don’t bury your head in the sand, but address it head on and limit the damage if you can. It may already be too late, but if you have taken all reasonable steps to avoid this problem, you may have provided yourself with a defence to any claim. Failure to act could lead to a claim for discrimination and/harassment which can be unlimited in terms of an award from an Employment Tribunal.</p>

									<p>In short, if a company falls into insolvency, for debts such as PAYE, employee NICs, and VAT, HMRC will get a bite of the cherry ahead of floating charge creditors and unsecured creditors.  Floating charge creditors can include banks that lend against debts or other assets.  Unsecured creditors can include company pension schemes, and the company&#8217;s suppliers.</p><p>Despite what HM Government might say about increased recoveries from insolvencies and lessening the taxpayer burden, some suggest that the move will cause any available cash to dry up; that UK companies will find it harder to borrow as lenders and financiers will be less willing to risk giving credit.</p><p>Interestingly, HMRC has been a preferential creditor in insolvencies before, but, presumably for the good of the UK companies, that was reversed some years ago.  This reinstatement has understandably caused some concern across the banking and insolvency professions, and UK companies.</p><p>There is no doubt that HM Government will be looking to do what it can to replenish the UK coffers in light of the impact of Covid-19, but whether reinstatement of HMRC’s preferential status is the way, remains to be seen.</p><p>If you are a director or creditor of a company and would like to discuss this further, please get in touch with Andrew Tonge on 07771803759 or <a href="mailto:ato@nexussolicitors.co.uk">ato@nexussolicitors.co.uk</a></p><p> </p>								</div>

									<p>In <em>Addlesee v. Dentons Europe LLP [2019] </em>the claimants were investors in a property development company which had been dissolved and therefore no longer existed.  The investors claimed that this scheme was fraudulent and sought disclosure of documents passing between the company and its legal advisers.  It was not in dispute that the relevant documents had attracted the privilege when they came into existence.  The question was whether privilege was lost if there was no person entitled to assert it at the time a disclosure request was made. </p><p>The Court of Appeal looked at the underlying policy of privilege which is that a person had to be able to consult their lawyer in confidence and in the knowledge that what was said could not be revealed without their consent.  No privilege would subsist in a document if it had been created for the furtherance of crime, fraud or other iniquity.  However once privilege was established it remained until it was waived.  In this case there was no one who could now give that waiver. </p><p>In this decision the Court has given a ringing endorsement of the principle of privilege and confirmed that this outlasts the dissolution of a company. </p><p>If you have the issues relating to privilege or legal procedure please do not hesitate to contact Debbie Whiteley on 0161 819 4920 or at dfw@nexussolicitors.co.uk.</p>								</div>

					<h2 class="elementor-heading-title elementor-size-default">On Friday 29th May 2020 the government announced its next set of reforms to the CJRS – or as you may know it the “Furlough Scheme”.</h2>				</div>
				</div>

									<table><tbody><tr><td><p>We still await the finer detail of the reforms, which will be published in the Treasury Direction and the Employer&#8217;s Guidance in due course, however the main headlines are as follows:</p><ul><li>The scheme will close for new entrants from 30<sup>th</sup> June and as such the 10<sup>th</sup> June 2020 will be the last day that employers can place employees on furlough – any later than 10<sup>th</sup> June and the employees will not have achieved 3 consecutive weeks on furlough and as such you will be unable to qualify for repayment via the scheme, <br /> </li><li>With effect from 1<sup>st</sup> July 2020 employees will be able to work part-time and be furloughed part-time (“flexible furlough”).  <br /> </li><li>From 1<sup>st</sup> August 2020, employers will no longer be able to claim back employee&#8217;s national insurance contributions and pension contributions for furloughed staff.<br /> </li><li>From 1<sup>st</sup> September 2020, the government will reimburse 70% of salary (up to a maximum of £2,190) with employers required to top-up to at least 80% depending upon their agreement with employees.<br /> </li><li>From 1<sup>st</sup> October 2020, the government will reimburse 60% of salary (up to a maximum of £1,875) with employers again having to top up to at least 80%.<br /> </li><li>The furlough scheme will close on 31<sup>st</sup> October 2020.</li></ul><p>We have no detail in relation to how the likes of “flexible furlough” will be implemented in practice and as always with this scheme we must wait and see. 									<p>On 20 May 2020, the Government laid before parliament its Corporate Insolvency and Governance Bill.  If passed in its present form, the Bill will bring dramatic changes to corporate insolvency law and generally the governance of companies and other entities.  The driver behind the Bill appears to be an attempt to control the economic consequences of the Covid-19 pandemic on UK companies.<br /><br /><strong>In short, the Bill includes:</strong></p><ul><li>A moratorium giving struggling businesses an initial 20 business days to consider a rescue plan; no legal action can be taken against a company during this period without the permission of the Courts.<br /><br /></li><li>A process to allow struggling companies, or their creditors or members, to put forward a plan for the restructuring of complex debt and the injection of rescue finance. It allows for dissenting creditors to be bound by the plan, if the Court approves the plan as fair and such that those creditors would be no worse off than if the company entered an alternative insolvency procedure.</li></ul><ul><li>A mechanism such that suppliers to companies in insolvency or restructuring procedures and moratoria will not be able to rely on contractual terms to stop supplying, or vary the contract terms with the company (for example, increasing the price).</li></ul><ul><li>Statutory demands made between 1 March 2020 and 30 June 2020 will be void, with a restriction on winding up petitions from 27 April 2020 to 30 June 2020.</li></ul><ul><li>A suspension of wrongful trading laws such that when considering the personal liability of a director the Court is to assume that the director is not be responsible for the worsening of the company’s or creditors financial position during the period 1 March 2020 to 1 June 2020. Directors must, though, be aware that they remain subject to other duties which can bring personal liability and disqualification.</li></ul><ul><li>Companies may temporarily (and retrospectively, back to 26 March 2020), hold AGMs and other meetings in certain ways other than might be required by the company’s constitution.</li></ul><ul><li>An ability of the Secretary of State to make regulations to extend deadlines for the filing of accounts, confirmation statements (and certain associated filings) and registrations of charges.</li></ul><p>The Bill is not yet law, and it may of course change as it passes through parliament in the coming weeks.  In whatever shape the Bill emerges, though, what the Government has demonstrated is its determination to take steps to protect British businesses, to protect British workers and to protect the British economy.<br /><br />If you would like to discuss your business or your responsibilities as a director, please contact Andrew Tonge on <a href="mailto:ato@nexussolicitors.co.uk">ato@nexussolicitors.co.uk</a></p>								</div>

									<p>As announced in the recent press, the government has created a suspension (for 3 months from 1 March 2020) of the personal liability that can fall on a director under what are known as the “wrongful trading” rules.</p><p>Wrongful trading is governed by section 214 of the Insolvency Act 1986. Where a director knows or ought to have known that the insolvent failure of their business was inevitable, but didn’t take every step to protect creditors and prevent losses, the director can be made personally liable for those losses.</p><p>The steps required to be taken by a director vary from case to case, but can be life-changing for the company; sometimes appropriate financial controls can keep the company safe, but sometimes placing the company into administration or liquidation is the only way to prevent further losses and cap the personal liability of the director.</p><p>At this stage, we do not know what the legislation dealing with the retrospective suspension of the wrongful trading rules will look like, and it might not be enacted until the end of April or even early May.</p><p>Whilst it is in the present circumstances a pragmatic move, the government’s suspension of the wrongful trading rules comes with a <strong><em>corporate health warning</em></strong>: suspending the wrongful trading rules does not mean that company directors can trade the company without any concern for their own personal liability.</p><p>Wrongful trading is not the only pitfall for a director of an insolvent company.  Directors are under further and other duties enshrined in the Companies Act 2006 and breach of those duties can also bring personal liability. Those duties can include not acting negligently, promoting the success of the company or avoiding conflicts of interest.</p><p>Similarly, directors remain at risk in relation to sanctions under the Insolvency Act, such as fraudulent trading, transactions defrauding creditors and misfeasance.  Directors must avoid allowing payments which prefer some creditors to others and disposal of assets at undervalue.  Quite often there is a significant overlap between wrongful trading and breaches of Companies Act and Insolvency Act duties.</p><p>The details of wrongful trading and other duties and responsibilities of directors are complex and should only be assessed on a case-by-case basis with reference to the particular circumstances of the company in question.  It is not just the effects of the coronavirus that can be causing problems for companies and, far too often, the timescales within which action must be taken are very short.</p><p>Assessing whether a company is insolvent requires specialist help, often including guidance on dealing with HMRC, the company’s bankers and other creditors, disagreements in the boardroom, changes to trading operations, and when to call in the administrators or liquidators.</p><p>If you are a company director and are concerned about insolvency and the effects of coronavirus on the company, you should act immediately in taking independent specialist legal advice.<br /><br />Take a look at our previous article on Dos and Don’ts for directors of companies in trouble. <br /><br /><a href="https://nexussolicitors.co.uk/companies-in-trouble-some-dos-and-donts-for-directors/">https://nexussolicitors.co.uk/companies-in-trouble-some-dos-and-donts-for-directors/</a><br /><br />If you’d like to know if we can help you, please contact Andrew Tonge on <a href="mailto:ato@nexussolicitors.co.uk">ato@nexussolicitors.co.uk</a> or on 0161 819 4905.</p>								</div>

					<h2 class="elementor-heading-title elementor-size-default">Many businesses across the globe are suffering due to the outbreak of the coronavirus or are making preparations in anticipation that this could disrupt their normal business activities. </h2>				</div>

									<p>Since the World Health Organisation (WHO) declared the virus a public health emergency on 30 January 2020 the outbreak has continued to spread and as at 5 March 2020 there were 95,265 reported cases across 34 countries.</p><p>As well as preparing its workforce businesses will also want to consider the potential impact on contracts.</p><p><strong>Contractual position</strong></p><p>If a party to a contract does not perform its obligations then it is normally liable for breach. However there are possible exceptions to this rule where non-performance is excused due to events outside that party’s control:</p><p style="padding-left: 40px;"><strong>(i) Force majeure</strong></p><p>The term “force majeure” has no recognised meaning in English law and will not be implied into a contract. Where a contract contains an express clause, it will usually set out how it will operate to delay or absolve one or both parties from all or part performance of their obligations. Whether coronavirus will constitute a relevant event will depend on the individual contractual wording. Such an epidemic may be specifically covered or it may fall within more generic sweep up provisions.</p><p>The burden of proof is on the party seeking to claim force majeure to prove that coronavirus falls within the contractual wording and that non performance was a result of the outbreak. That party also needs to show that there were no alternative means of performing its obligations and that it has taken all reasonable steps to lessen or avoid the effects of the event. The burden is therefore on, for example, a contractor to show that it could not have sourced goods or workers from elsewhere due to the outbreak and it should therefore document its attempts to do so.</p><p>The consequences of establishing force majeure depend on the terms of the contract and this could, for example, lead to a right to terminate or suspension of certain obligations. This in turn leads to other considerations such as for how long the force majeure event will be classified as such. The contract could also contain notice provisions and it is important that these are strictly complied with.</p><p>No doubt the courts will be keenly looking out for opportunistic attempts to reduce or remove contractual obligations by blaming coronavirus.</p><p>In summary all contracts (including leases, supply contracts for goods or services) should be carefully checked.</p><p style="padding-left: 40px;"><strong>(ii) Frustration</strong></p><p>In the absence of an express force majeure clause, it may be possible to exit a contract but only in very limited circumstances. Frustration applies where a significant change in circumstances renders the performance of a contract radically different from the obligations that were originally undertaken. Impossibility of performance is the key requirement and the courts have previously set an extremely high bar to establish this. Mere inconvenience, hardship or financial loss involved in performing a contract, or delay which is within the commercial risk undertaken by the parties, has been held to be insufficient to frustrate particular contracts. A classic example is that a contract for the hire of rooms for the sole purpose of viewing King’s coronation was frustrated when the procession was cancelled due to illness.</p><p><strong>Insurance policies</strong></p><p>All insurance policies are formed with their own terms and conditions which means that it is vital to check the particular policies held. Businesses that have suffered a loss as result of disruption arising from the coronavirus should consider in particular:</p><p style="padding-left: 40px;">• Business interruption policies &#8211; these cover for losses caused by interruption to the business. They may have requirements such as the need for physical loss or damage (which may be difficult to establish), or provide cover only for notifiable infectious diseases (which occurred in relation to coronavirus on 3 March 2020 in England and Wales).</p><p style="padding-left: 40px;">• Liability insurance – business operators could face claims from employees and members of the public if adequate steps have not been taken to protect them from contracting the virus. Public liability and employer’s liability insurance are likely to cover such claims and should be notified as soon as possible.</p><p style="padding-left: 40px;">• Cancellation insurance – many governments are prohibiting and/or businesses are deciding to cancel events which will involve the gathering of a large number of people and which could lead to irrecoverable expenses and loss of profit being incurred.</p><p>All policies should be checked carefully to establish whether cover is potentially available and also to ensure that any notification requirements are properly complied with.</p><p><strong>Employment issues</strong></p><p>Employers have a duty to protect the health and safety of employees and so it is important that advice from organisations such as WHO and government agencies are complied with. WHO has produced guidance on “Getting your workplace ready for COVID-19” which can be found at <a href="https://www.who.int/docs/default-source/coronaviruse/getting-workplace-ready-for-covid-19.pdf?sfvrsn=359a81e7_6" target="_blank" rel="noopener">https://www.who.int/docs/default-source/coronaviruse/getting-workplace-ready-for-covid-19.pdf?sfvrsn=359a81e7_6</a>.</p><p>Whilst employers will want to avoid the outbreak being used as an excuse for absences, there will be concerns about keeping those who have been genuinely exposed or are ill from the workplace.</p><p>Employers will need to consider, for example:</p><p style="padding-left: 40px;">• Whether the relevant employee’s contract of employment contains an express right to require the employee to stay at home and in what circumstances</p><p style="padding-left: 40px;">• Setting up a reporting system and policy for self-quarantining for those who have been in infected countries or in close contact with people who have visited those countries</p><p style="padding-left: 40px;">• Keeping other employees informed of any suspected or confirmed cases</p><p style="padding-left: 40px;">• Putting in place alternative business practices (such as video conferencing)</p><p>There are obviously a large number of issues that arise or potentially arise in relation to such a widespread and contagious epidemic.
